1. Acceptance And Scope
This End User License Agreement applies when Syntexsys makes software, hosted tools, prototypes, client portals, internal applications, or related digital materials available to an end user. By accessing or using those materials, you agree to these terms.
If you are using the software on behalf of a company or another legal entity, you represent that you have authority to bind that entity. If a signed agreement between Syntexsys and the customer covers the same software, the signed agreement controls where the two conflict.
2. License Grant
Syntexsys grants you a limited, non-exclusive, non-transferable, revocable license to access and use the applicable software only for the permitted business or personal purpose described in the relevant proposal, statement of work, service order, or product documentation.
This license does not transfer ownership. All rights not expressly granted remain reserved by Syntexsys and its licensors.
3. Use Restrictions
You may not sublicense, resell, lease, distribute, publicly expose, or make the software available to unauthorized third parties unless Syntexsys has approved that use in writing.
You may not reverse engineer, decompile, disassemble, bypass security controls, copy source materials, introduce malicious code, or use the software in violation of law or third-party rights except where applicable law cannot be waived.
4. Accounts And Access Control
Where credentials are issued, you are responsible for maintaining the confidentiality of login details and for activity that occurs under your account. Access should be limited to authorized users only.
You must notify Syntexsys promptly if you suspect unauthorized access, credential leakage, or misuse. Syntexsys may suspend access when reasonably necessary to protect the service, customer data, or other users.
5. Customer Data And Feedback
As between the parties, you retain rights to data and materials that you submit to the software, subject to the permissions needed for Syntexsys to host, process, secure, back up, support, and improve the service.
If you provide suggestions, comments, or feature requests, Syntexsys may use that feedback without restriction or compensation, provided that doing so does not identify confidential customer information.
6. Availability, Updates, And Support
Syntexsys may update, patch, modify, or discontinue features when reasonably necessary for security, maintenance, compliance, or product improvement. Support obligations, response expectations, and uptime commitments depend on the specific commercial agreement in place.
Unless expressly agreed otherwise in writing, software is provided on an evolving basis and certain functions may change over time.
7. Intellectual Property
The software, interface design, source code, workflows, documentation, trademarks, and all related intellectual property remain the property of Syntexsys or its licensors. Nothing in this agreement transfers those rights to the end user.
You may not remove proprietary notices, branding, or license statements from materials provided by Syntexsys unless Syntexsys authorizes that change in writing.
8. Warranty Disclaimer And Liability Limits
Except as expressly stated in a signed agreement, the software is provided on an as available and as is basis. Syntexsys disclaims implied warranties to the fullest extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Syntexsys is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Any aggregate liability relating to the software will not exceed the fees paid for the applicable software or service during the 12 months preceding the claim.
9. Suspension And Termination
This license continues until it is terminated by Syntexsys, by the applicable customer agreement, or by discontinuation of the relevant software. Syntexsys may suspend or terminate access if these terms are breached or if continued access creates legal, operational, or security risk.
Upon termination, you must stop using the software and, where applicable, delete or return licensed materials in your possession unless retention is required by law or by a written customer agreement.
10. Governing Terms And Contact
Any dispute relating to this public license page will be governed by the law applicable to the contracting Syntexsys entity, without regard to conflict-of-law rules, unless a signed agreement states otherwise.
